PROFESSOR AGREEMENT

Fiddleheart Summer Camps 2019  


THIS AGREEMENT (“Agreement”), dated July 1, 2019, is made by and between FIDDLEHEART, located at 59 Buttonwood St., Lambertville, NJ 08530, and (“Professor”).

Section One (1) Services and Duties.

(a) During the term of this Agreement, Fiddleheart will engage Hanna Gaffney to serve in the role of PROFESSOR, providing teaching and creative input for two summer camp programs titled: 1) The Thinning of the Veil and 2) The Dragon Egg Dilemma.

  1. Fiddleheart Academy will develop and provide the basic outline, narrative and theme for this camp to the Professor, who will use this knowledge to create classes that are in alignment with this outline and who will work collaboratively with other professors and staff in the creation of these classes and in teaching the students.

  2. The Professor will maintain a character throughout the camp.  Breaking character is allowed as deemed necessary by the Professor him/herself or by the Headmistress.

  3. The Professor will contribute creatively to the evolving fictional narrative of the camp as well as the overall “world” of Fiddleheart and will share these contributions with all staff members during camp and at daily staff meetings. (See “Work for Hire).

  4. Specifically, the Professor will perform certain creative and teaching services to students of Fiddleheart Academy, including but not limited to the following:

  • develop lessons and activities in collaboration with Headmistress and other staff as needed;

  • provide a lesson plan(s) and materials list to Headmistress and the Stage Manager by June 1st, 2019 so as to ensure Fiddleheart Academy ample time to obtain supplies within budget and in a timely manner;

  • arrive on campus at minimum 30 minutes prior to when students arrive to help set up;

  • stay, at most, 2 hours after campers leave (3:00pm, with the exception of after-care students) to help clean up and attend staff meeting;

  • communicate with Headmistress and other staff regarding any student behavior issues or other concerns;

  • provide students escort around campus as needed; 

  • with other staff members, supervise students adequately to ensure a safe learning environment.


Section Two (2) Camp, Planning & Cleanup Dates.

  • Session Two: The Dragon Egg Dilemma~ Mondays-Fridays, August 12-23, 2019, 9:00am-3:00pm

  • 1 Planning/ Set-up Days: Sunday August 11, 2019, 10:30am-5:00pm

  • 1 Postmortem meetings: Saturdays August 24, 2019 10:00am-noon

  • 1 Post-camp clean-up day: Saturday, August 24, 2019 1:00-5:00pm (or whenever cleanup is complete)


Section Three (3) Housing.

Fiddleheart Academy will provide local housing for Professor for the time outlined in Section 2.


Section Four (4) Terms and Termination.

  1. The term of this Agreement shall commence on January 21, 2019 (“Effective Date”) and it shall terminate August 24, 2019.

  2. Fiddleheart Academy may terminate this Agreement at any time for any reason.


Section Five Compensation.

  1. Fiddleheart Academy will pay the Professor a total wage of $1450.00 for all services and duties once camp has commenced.  

  2. The total wage will be divided into 4 payments. Fiddleheart shall pay the Professor $725.00 on the following dates: August 16, August 23.

  3. Professor will not be paid for any days that she/he has to miss for any reason.  The amount deducted will be a prorated amount based on the number of total days as outlined in Section 2. 

  4. Fiddleheart is not obligated to pay wages if either session is canceled for any reason.


Section Six (6) Indemnification.

Professor shall indemnify and hold harmless Fiddleheart Academy from any loss, damages, suits, claims or expenses of any nature (including attorneys’ fees and costs of suit) against Fiddleheart Academy resulting from the following: (a) the breach of any representation or warranty made by Professor under this Agreement; (b) Professor’s failure to perform any obligation under this Agreement; and/or (c) anything else done by Professor arising out of or in the course of the performance of her/his duties under this Agreement. Any and all claims for unemployment benefits and/or claims for worker’s compensation benefits are hereby expressly waived by Professor.


Section Seven (7) Confidentiality.

Professor will have access to certain confidential information, including information about Fiddleheart Academy’s students. Professor shall not disclose any confidential information about Fiddleheart Academy or its students without the written permission of Fiddleheart Academy. Upon termination of this Agreement, this section of this Agreement shall survive indefinitely.


Section Eight (8) Applicable Law.

Professor will have access to certain confidential information, including information about Fiddleheart Academy’s students. Professor shall not disclose any confidential information about Fiddleheart Academy or its students without the written permission of Fiddleheart Academy. Upon termination of this Agreement, this section of this Agreement shall survive indefinitely.


Section Nine (9) Work for Hire.

(a) Professor expressly acknowledges that the material and services contributed by Professor hereunder are being specially ordered and commissioned by Fiddleheart for use in connection with Fiddleheart. The Work contributed by the Professor shall be considered a "work made for hire” as defined by the copyright laws of the United States. Fiddleheart shall be the sole and exclusive owner and copyright proprietor of all rights and title in and to the results and proceeds of Professor’s services hereunder in whatever stage of completion. If for any reason the results and proceeds of Professor services are determined at any time not to be a "work made for hire,” Professor hereby irrevocably transfers and assigns to Fiddleheart all right, title and interest therein, including all copyrights, as well as all renewals and extensions thereto.

(b). Professor agrees that Fiddleheart may make any changes or additions to the Work prepared by Professor, which we in our sole discretion may consider necessary, and may engage others to do any or all of the foregoing, with or without attribution to Professor. Professor further agree to waive any so-called moral rights in the Work. 


Section Ten (10) Entire Agreement.

This Agreement constitutes the entire Agreement between the Parties, and this Agreement supersedes all prior agreements and understandings between the Parties. No supplement, modification, or amendment of this Agreement shall be binding unless executed in writing by both Parties.

If any provision of this Agreement shall be found to be void or unenforceable for any reason, such determination shall not affect the enforceability or validity of the remainder hereof, which shall remain in full force and effect.


Section Eleven (11) Headings.

All headings used in this Agreement are for reference purposes only and shall not be deemed to constitute part of this Agreement.

By issuing this contract, Fiddleheart agrees to the terms of this agreement.

In selecting, “I agree” below, the Professor named agrees to the terms of this agreement.
